1. Scope
These terms apply to every quote, order and delivery from METLAB Miljö AB, Swedish registration number 556067-7311, unless something else has been agreed in writing. Where a quote, an order confirmation or an agreement says something other than these terms, that document applies.
2. Quote and order
- A quote is valid for 45 days from its date of issue, unless the quote says otherwise.
- The order is confirmed in writing, by e-mail or order confirmation. Changes and additions are agreed in writing and priced separately.
- The dates of a measurement campaign are set together with the customer.
3. Prices and payment
- All prices exclude VAT. A measurement campaign includes travel, instruments, consumables and the report, unless the quote says otherwise.
- Payment is against invoice, 30 days net. A measurement campaign is normally invoiced half after the field work and half after the preliminary report. Products and calibration are invoiced on delivery.
- Late payment carries interest under the Swedish Interest Act and the statutory reminder fee.
4. Measurement services
Measurements are made to the standards and methods named in the quote. METLAB is accredited by Swedac, the Swedish accreditation body, to ISO/IEC 17025. The accreditation covers the sampling and determinations named in the quote, not analyses made by external laboratories.
The customer makes sure that:
- the plant runs normally at a representative load during the measurement, and clearance is given before sampling starts
- the measurement site is accessible and prepared: usable sampling ports with clean threads, room for the equipment, a lift or scaffolding where needed, and 230 V, 16 A power at the site
- METLAB's staff get access, a safety briefing and permission to photograph the measurement site
- the operating data needed for the report are provided, for example fuel, load and any disturbances during the measurement
- a contact person can be reached on arrival, at the start of sampling and on departure.
Waiting time and delays caused by operating disturbances or anything else outside METLAB's control are charged per started hour at the quote's hourly rate. Measurements that have to be repeated for the same reasons are quoted separately.
Cancelling or moving a booked measurement campaign later than five working days before the planned start is charged for the time spent and for travel and bookings that cannot be cancelled.
The report is delivered as a digitally signed PDF within 25 working days of the end of the field work, unless otherwise stated. The customer may comment on the preliminary report before the final one is issued. The results describe the conditions during the measurement. How the measurement uncertainty is handled when results are assessed against a limit is set out in the decision rule in the quote and the report.
The work follows the work-environment requirements of the Swedish association of air laboratories: a risk assessment before the start, personal protective equipment and fall protection where needed. Our staff hold safety training through SSG.
5. Products
- The delivery time is given in the order confirmation. Delivery terms according to Incoterms 2020, normally EXW Enköping within Sweden and DAP for export, unless the quote says otherwise. Freight and packaging are charged.
- The risk in the goods passes to the customer on delivery. The goods remain METLAB's property until paid in full.
- The warranty is 12 months from delivery and covers defects in materials and workmanship, unless the quote says otherwise. It does not cover consumables, wear parts, normal wear or defects caused by incorrect use, installation or service by anyone other than METLAB. In case of a defect, METLAB repairs or replaces the goods.
- Defects are reported without delay and within the warranty period. Returns are made by agreement, in the original packaging or equivalent.
- Duties, import charges and export licences for deliveries outside Sweden are the buyer's responsibility, unless otherwise stated.
6. Calibration
- Instruments for calibration are sent, well packed, to METLAB's workshop, Doktor Westerlunds gata 24, 745 63 Enköping, Sweden. The customer bears the transport and the risk to and from the workshop, unless otherwise agreed.
- The turnaround time is given in the quote or at booking. The calibration certificate is issued digitally. Calibration of pitot tubes and gas meters is done under METLAB's accreditation.
- If an instrument turns out to be damaged or cannot be calibrated, we contact the customer before anything more is done. The time spent is charged.
- Instruments not collected or returned within three months of notice are stored at the customer's risk.
7. Liability
METLAB's liability for defects or delay is limited to the amount the customer has paid for the campaign or delivery concerned. METLAB is not liable for indirect loss, such as loss of production, loss of profit or third-party claims. Results and reports describe the conditions at the time of the measurement. The responsibility for the plant's operation, permit and reporting to the authorities lies with the customer.
8. Confidentiality
Information about the customer's plant, operation and results is treated as confidential and is not disclosed to anyone but the customer, except where the law, a decision by an authority or the rules of the accreditation require it. The same applies to the customer's information about METLAB. Anonymised results may be used in METLAB's statistics and method development.
9. Force majeure
Neither party is liable for delay or failure to perform caused by circumstances beyond its control, such as strikes, extreme weather, fire, decisions by authorities or a supplier's failure, where the circumstance could not be foreseen and its consequences could not reasonably be avoided. The obligation to pay is not affected.
10. Personal data
How METLAB handles personal data in quotes, campaigns and on the website is described on the privacy page.
11. Disputes
Swedish law applies. Disputes that cannot be settled amicably are decided by the Swedish courts, with Uppsala District Court as the court of first instance.
